Terms of Engagement

These Terms of Engagement govern the relationship between Ishvaa Consultancy Services ("Ishvaa") and clients who engage our professional services. By engaging our services, you agree to these terms.

1. Scope of services

The specific services to be provided, deliverables, timelines, and fees will be set out in a separate Engagement Letter agreed upon before commencement of work. These Terms form the general framework governing all engagements unless specifically varied in writing.

2. Client responsibilities

The client agrees to:

Ishvaa's ability to meet filing deadlines is contingent on timely receipt of required information from the client. Delays caused by late client response do not constitute a breach by Ishvaa.

3. Fees and payment

Fees are as agreed in the Engagement Letter. Invoices are payable within 7 days of issuance unless otherwise agreed. Late payment may result in suspension of services. Ishvaa reserves the right to revise fees with 30 days' notice for ongoing retainer engagements.

4. Confidentiality

Ishvaa will maintain strict confidentiality of all client information received in the course of an engagement. This obligation survives the termination of the engagement. Information will not be disclosed to third parties except as required to perform the services or as required by law.

5. Limitation of liability

Ishvaa's liability in connection with any engagement is limited to the fees paid for the specific service in question. Ishvaa is not liable for any indirect, consequential, or special loss arising from reliance on our services. Ishvaa is not liable for penalties, interest, or assessments arising from information provided inaccurately or incompletely by the client.

6. Audit and assurance services

Statutory audit services are provided in association with an empanelled Chartered Accountant. Ishvaa Consultancy Services is not a Chartered Accountancy firm registered with the Institute of Chartered Accountants of India (ICAI).

7. Termination

Either party may terminate an engagement with 30 days' written notice. Fees for work completed up to the termination date are payable in full. Ishvaa will provide reasonable transition support to ensure continuity of compliance obligations.

8. Governing law

These Terms are governed by the laws of India. Any disputes shall be subject to the jurisdiction of courts in Bengaluru, Karnataka.
